Terms of service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of [Product name] (the “Service”) provided by [Your legal entity name] (“we,” “us,” or “our”). By creating an account, accepting online, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, your organization (“Customer”). If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be able to form a binding contract. You are responsible for accurate registration information and for maintaining credential confidentiality. You are responsible for activity under your account, except where caused by our gross negligence or willful misconduct. Notify us promptly of unauthorized use.

3. Customer data and license

3.1 Your data

As between you and us, Customer retains all rights to Customer data submitted to the Service.

3.2 License to us

Customer grants us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer data solely to provide, secure, and improve the Service and as described in our Privacy Policy.

3.3 Responsibilities

Customer represents that it has obtained rights and consents necessary to submit Customer data (including personal data about drivers and employees) and that use of the Service will not violate applicable law or third-party rights.

4. Acceptable use

Customer will not and will not permit others to: misuse or disrupt the Service; attempt unauthorized access; send spam or unlawful content; reverse engineer except where law forbids this restriction; violate export or sanctions laws; or use the Service in a manner that could harm us, other customers, or the public. We may suspend or terminate access for violations.

5. Plans, fees, and payment

Features and limits depend on the selected plan. Fees may be processed by a third-party payment provider. Customer authorizes us and our payment provider to charge applicable fees. Taxes may be added where required. We may suspend the Service for non-payment where permitted after notice.

6. Trial, beta, and free tiers

Trials or beta features are provided “as is,” may be withdrawn, and may have reduced support or availability.

7. Intellectual property

We and our licensors own the Service, including software, branding, and documentation. These Terms grant no implied licenses except as expressly stated.

8. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for these Terms, except as required by law.

9. Service changes and availability

We may modify, suspend, or discontinue parts of the Service. We do not guarantee uninterrupted operation. Maintenance may occur.

10. Term and termination

These Terms remain in effect while Customer uses the Service until terminated. Customer may stop using the Service and request closure per instructions. We may suspend or terminate for material breach, legal risk, non-payment, or extended inactivity, with notice where practicable. Upon termination, access may end and we may delete Customer data after a reasonable period subject to law and backups, unless retention is required by law.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law: (a) neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data; and (b) our aggregate liability arising out of these Terms will not exceed the greater of the amounts paid by Customer to us for the Service in the twelve (12) months before the claim or [amount]. These limitations do not apply where prohibited by law.

13. Indemnity

Customer will defend and indemnify us and our affiliates, officers, directors, employees, and agents against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from Customer data, Customer’s use of the Service in violation of these Terms, or Customer’s violation of law.

14. Export and government users

Customer will comply with applicable export laws. U.S. government use may require a separate agreement.

15. Governing law and disputes

These Terms are governed by the laws of [State / Country], without regard to conflict-of-law rules. Courts in [City, State / Country] have exclusive jurisdiction, unless you replace this section with binding arbitration where enforceable.

16. General

These Terms and referenced documents (including the Privacy Policy) are the entire agreement on this subject. Customer may not assign without our consent; we may assign in connection with a merger or sale of assets. If a provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver. The parties are independent contractors.
